1. Agreement to these Terms
These Terms of Service (the “Terms”) are an agreement between you and Wexley Publishing LLC (“Wexley,” “we,” “us,” or “our”). They govern your access to the Wexley Pro application, website, free trial, account services, support, and related features (collectively, the “Services”). By creating an account, starting a trial, purchasing a plan, or using the Services, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old, or the age of legal majority where you live, and able to enter a binding contract. If you use Wexley Pro for a business or organization, you represent that you have authority to bind it.
2. Your account
You must provide accurate account information and keep your sign-in credentials secure. You are responsible for activity under your account and must promptly notify support@wexley.pro if you believe it has been accessed without permission.
Subject to your compliance with these Terms and any applicable marketplace terms, a Wexley Pro license is personal, limited, non-exclusive, non-transferable, and non-sublicensable. Unless we state otherwise in writing, one account may be active on one device at a time. You may move to another compatible device by signing out, transferring, or restoring access through the methods Wexley provides. You may not sell, rent, share, or commercially distribute your account or license.
3. Seven-day free trial
Wexley offers eligible first-time customers one seven-day free trial with either the Monthly or Annual plan. Starting a trial with either plan uses the shared trial eligibility; starting or switching to the other plan does not create a second trial. The trial begins when you confirm it through the applicable checkout flow. A valid payment method may be required, and the checkout screen will disclose the trial length, the date billing begins, the post-trial price, and renewal terms before you start.
During the trial, you receive the same core app access included with both subscription plans. If you cancel before the trial ends, you will not be charged the selected plan price. Unless you cancel before the trial ends, the trial automatically converts to the selected paid plan at the price disclosed when you started it, plus applicable tax, and renews monthly or annually according to that plan until canceled.
Trial eligibility may be limited to one trial per person, account, payment method, or household. Wexley may refuse or revoke trial access where reasonably necessary to prevent fraud or repeated trial abuse. If a trial is offered through Apple or another marketplace, that marketplace’s displayed trial and billing terms also apply.
4. Paid plans and licenses
Monthly
After any applicable free trial, the Monthly plan is billed in advance in U.S. dollars and automatically renews each month until canceled. Cancel before the trial ends to avoid the first charge, or before a later renewal date to prevent the next charge. After cancellation of a paid Monthly term, access continues through the end of that term unless the purchase is refunded or the account is terminated for a material violation of these Terms.
Annual
After any applicable free trial, the Annual plan is billed in advance in U.S. dollars and automatically renews each year until canceled. Cancel before the trial ends to avoid the first charge, or before a later renewal date to prevent the next charge. After cancellation of a paid Annual term, access continues through the end of that term unless the purchase is refunded or the account is terminated for a material violation of these Terms. Additional details appear in our Subscription and Cancellation Policy.
Lifetime
“Lifetime” means access to the core Wexley Pro application for as long as Wexley Publishing LLC continues to operate, offer, and maintain Wexley Pro. It does not mean your biological lifetime, perpetual operation, or an obligation to support every future device, operating system, or distribution channel.
Lifetime includes ordinary maintenance, improvements, and main feature releases made part of the core Wexley Pro application. Wexley may separately sell distinct products, services, cloud capacity, content, add-ons, enterprise offerings, AI or resource packs, or optional premium modules that are not included in Lifetime. We will identify separately paid products before charging for them.
5. Your manuscripts and creative work
You retain all ownership rights you have in manuscripts, notes, characters, research, Story Bible entries and other Story Bible material, images, and other content you create or import (“Author Content”). These Terms do not transfer ownership of Author Content to Wexley, and Wexley does not acquire ownership merely because Author Content is processed, stored locally, imported, edited, or exported using the Services.
You represent that you have the rights necessary to use, edit, store, and export your Author Content. You are responsible for obtaining necessary rights and for the legality, accuracy, and publication of your work. You must maintain independent backups and exported copies of important work.
Wexley is designed for local processing and does not provide Wexley-hosted manuscript cloud sync. Apple-managed device backup or migration may include eligible local app data according to your device, account, and operating-system settings, but Apple controls those systems. Wexley does not guarantee Apple device backup, inclusion in iCloud backup, migration, restoration, backup freshness, or recovery following device loss, operating-system failure, deletion, or corruption. Wexley does not use Author Content to train Wexley AI models.
6. Local Intelligence
Wexley Local Intelligence can suggest, transform, analyze, or generate text on your device. Machine-generated output can be incomplete, inaccurate, repetitive, or unsuitable. You are responsible for reviewing generated text and other Local Intelligence output, deciding whether it is appropriate for publication or commercial use, confirming facts, and ensuring that your work does not violate another person’s rights.
Wexley does not guarantee factual accuracy, originality, copyright eligibility, legal sufficiency, retailer, printer, distributor, contest, or publisher acceptance, sales, rankings, revenue, or other commercial results or success.
Third-Party Models. Wexley Local Intelligence may include third-party machine-learning models, including Google Gemma. Gemma is provided under and subject to the Gemma Terms of Use. You may not use Gemma or functionality powered by Gemma for any use prohibited by the Gemma Prohibited Use Policy or in violation of applicable laws or regulations. The applicable Gemma Terms of Use and Prohibited Use Policy are incorporated into these Terms with respect to your use of Gemma and are available through Wexley Pro's Third-Party Notices.
7. Exported files and publishing platforms
Wexley helps create files intended for publishing workflows. Before publication, distribution, or commercial use, you must review your manuscripts, generated text, Local Intelligence output, EPUB, DOCX, PDF, print layouts, previews, preflight notices, metadata, trim size and settings, typography, images, rights information, front matter, back matter, and final publication files. You are solely responsible for determining whether any output is appropriate for publication or commercial use.
Publishing services can change their specifications at any time. Wexley does not guarantee that Amazon KDP, Apple Books, Kobo, IngramSpark, a printer, distributor, or any other third party will accept a particular file. Wexley does not guarantee factual accuracy, originality, copyright eligibility, legal sufficiency, sales, rankings, revenue, or commercial success. Wexley is not a publisher, printer, distributor, literary agent, attorney, or guarantor of sales.
8. Acceptable use
You may not misuse the Services, interfere with their operation, evade plan or device limits, access another customer’s account, distribute malware, or use Wexley unlawfully. Except to the extent applicable law prohibits a contractual restriction, you may not copy, modify, adapt, reverse engineer, disassemble, decompile, decrypt, or attempt to derive source code, proprietary algorithms, or implementation details from protected portions of Wexley; circumvent technical restrictions, purchase or entitlement systems, or device or account restrictions; redistribute, resell, sublicense, rent, or make Wexley available over a network for simultaneous unauthorized use; scrape protected portions of the product; extract proprietary assets; or create derivative software or a competing service based on protected portions of Wexley. Nothing in these Terms restricts rights that cannot legally be restricted.
You may use Wexley to work on books for clients if you are the licensed account holder operating the app. Your clients do not receive your license and must contact you—not Wexley—for support concerning services you provide to them.
9. Payment, taxes, refunds, and disputes
Prices are displayed in U.S. dollars unless expressly stated otherwise. Taxes may be added based on the transaction and billing location. Payments made on our website are processed by Stripe; payment and entitlement information may be shared with RevenueCat to activate access.
For eligible website charges, the refund window is 7 calendar days for a first paid Monthly charge or Monthly renewal, 14 calendar days for a first paid Annual charge or Annual renewal, and 30 calendar days for a Lifetime purchase. Full eligibility requirements, instructions, and exceptions appear in our Refund Policy. Before filing a chargeback, please contact us so we can investigate access, duplicate billing, or product issues. Nothing in these Terms limits rights that cannot legally be waived.
Purchases made through Apple’s App Store are billed and processed by Apple and are subject to Apple’s applicable payment, cancellation, refund, and subscription-management policies. Wexley does not independently process refunds for transactions for which Apple is the merchant, billing provider, or payment processor. Requests relating to those transactions must be handled through Apple, subject to applicable law.
10. Wexley intellectual property
Wexley Pro and VaultMark are trademarks of Wexley Publishing LLC. The Wexley Pro software and Wexley-created interface, visual design, documentation, logos, and other materials—excluding your Author Content and identified third-party materials—are owned by Wexley Publishing LLC. No rights are granted except the limited right to use the Services under these Terms.
All third-party trademarks, service marks, trade names, product names, and logos displayed in or through the Services are the property of their respective owners. Google and the Google logo are trademarks of Google LLC. Apple and the Apple logo are trademarks of Apple Inc., registered in the U.S. and other countries and regions. References to Apple, Google, Amazon, Kobo, IngramSpark, Stripe, RevenueCat, or similar providers identify the applicable provider, platform, product, or service and do not by themselves imply endorsement, sponsorship, certification, partnership, or affiliation except where Wexley expressly states otherwise.
11. Service changes, suspension, and termination
We may improve, modify, suspend, or discontinue features to maintain security, comply with law, address platform changes, or operate the product responsibly. We may restrict or terminate access for fraud, unlawful conduct, abusive chargeback activity, license sharing, security threats, or a material breach of these Terms. When reasonably possible, we will provide notice and an opportunity to resolve the issue.
Subject to applicable law, your limited license to Wexley software may terminate automatically if you materially breach applicable license restrictions. After termination, you must cease any unauthorized use. Termination does not authorize Wexley to erase manuscripts stored locally on your device merely because your account is terminated.
You may stop using Wexley at any time. Canceling a Monthly or Annual plan affects future renewal. Termination does not affect accrued payment obligations or provisions intended by their nature to survive, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, and disputes.
12. External services and marketplace terms
The Services may interact with, link to, export files for, or depend on third-party services, platforms, models, payment systems, operating-system features, websites, file readers, printers, and distributors, including Apple, Stripe, RevenueCat, Google or Gemma, Amazon KDP, Apple Books, Kobo, and IngramSpark (collectively, “External Services”). Wexley does not control and is not responsible for an External Service’s availability, outages, policy or specification changes, content, accuracy, security practices, acceptance decisions, pricing, continued support, API changes, or compatibility changes.
Your access to and use of External Services is subject to each third party’s own terms and policies. You must comply with applicable third-party agreements when using services, platforms, models, payment systems, operating systems, or other third-party functionality associated with Wexley. The publishing-platform disclaimers in Section 7 continue to apply.
If you obtain Wexley Pro through Apple’s App Store, Apple’s Standard Licensed Application End User License Agreement and applicable Apple Media Services terms also apply. Apple’s Standard EULA governs your license to the iOS application. These Terms separately govern your relationship with Wexley and the Wexley Services and supplement, rather than replace or override, applicable Apple marketplace terms.
13. Disclaimers
Use of Wexley Pro and the Services is at your own risk. To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available,” with all faults and without warranties or conditions of any kind, whether express, implied, or statutory. Wexley disclaims warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, title, non-infringement, uninterrupted or error-free operation, compatibility, availability, reliability of generated output, successful publication, retailer acceptance, and commercial results.
No oral or written information, recommendation, representation, documentation, support response, marketing statement, or advice provided by Wexley or its representatives creates a warranty unless expressly stated in a written agreement signed by Wexley. Some jurisdictions do not allow the exclusion of certain warranties or conditions. Nothing in these Terms excludes, limits, or waives mandatory consumer rights that cannot lawfully be excluded, limited, or waived.
14. Limitation of liability
To the maximum extent permitted by applicable law, Wexley Publishing LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost revenue; lost profits; lost opportunities; lost or corrupted data; publishing rejection; replacement services; or business interruption arising out of or relating to the Services, regardless of the form or theory of liability, including contract, tort, negligence, strict liability, statute, or otherwise.
To the maximum extent permitted by applicable law, Wexley Publishing LLC’s total aggregate liability to you for all claims arising out of or relating to the Services, regardless of the form or theory of liability, will not exceed fifty U.S. dollars (US $50.00). These exclusions and limitations apply even if Wexley has been advised of the possibility of such damages and even if a stated remedy fails of its essential purpose, to the extent permitted by applicable law.
Some jurisdictions do not allow particular exclusions or limitations of liability. Nothing in these Terms excludes, limits, or caps liability to the extent applicable law prohibits doing so, or waives any right that cannot legally be waived.
15. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold Wexley Publishing LLC harmless from third-party claims, liabilities, damages, and reasonable expenses arising from your Author Content, your publication or distribution of it, your violation of another person’s rights, your unlawful use of the Services, or your material breach of these Terms.
16. Governing law and general terms
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where federal law or mandatory local consumer law controls. Any dispute not eligible for small-claims court will be brought in a state or federal court with jurisdiction in New York County, New York, unless applicable law requires another forum.
If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Wexley may assign them as part of a merger, reorganization, financing, or transfer of the Services. These Terms and the linked policies form the complete agreement concerning the Services.
17. Changes and contact
We may update these Terms to reflect product, legal, security, or operational changes. We will post the revised effective date and provide additional notice of material changes where required by applicable law. Where applicable law requires affirmative consent to a material change, the revised provision will not apply to you until that consent is obtained. Continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.
Questions about these Terms can be sent to Wexley Publishing LLC at support@wexley.pro.
